1. Acceptance of Terms

This Terms of Service Agreement ("Agreement") is entered into by and between ieIMPACT Technologies Inc., a California corporation with offices at 2033 Gateway Place, Floor 5, San Jose, CA 95110 ("ieIMPACT," "we," "us," or "our") and you ("Customer," "you," or "your").

By accessing or using our website www.ieimpact.com and appraisal data entry services ("Services"), you agree to be bound by these terms. If you do not agree to these terms, do not use our Services.

If you are accepting on behalf of your employer or another entity, you represent and warrant that: (i) you have full legal authority to bind that entity to these terms; (ii) you have read and understand this Agreement; and (iii) you agree to this Agreement on behalf of the entity you represent.

2. Account Registration and Security

2.1 Account Creation

Registration for an ieIMPACT account is free. You must provide current, accurate, complete, and updated information including your email address, name, phone number, and any other required details. You agree to notify us immediately of any changes to your registration information.

2.2 Account Security

You are solely responsible for maintaining the confidentiality of your password and account. You agree not to share your password or security information with anyone. You are responsible for all activities that occur under your account, with or without your knowledge.

2.3 Age Requirement

Our Services are available only to individuals age 18 and over. Individuals are limited to one active account. You may not sell, trade, or transfer your account to another party.

3. Services Description

3.1 Appraisal Data Entry Services

ieIMPACT provides professional appraisal data entry services including:

  • UAD 2.6 (current standard): Data entry for URAR 1004, Exterior Only 2055, Condo 1073, and all related legacy forms currently accepted by Fannie Mae and Freddie Mac
  • UAD 3.6 (new dynamic URAR): Data entry for the new Uniform Residential Appraisal Report format, including all structured fields, new sections (Disaster Mitigation, Energy Efficient & Green Features), and MISMO 3.6 XML delivery — effective with the November 2, 2026 GSE mandate
  • Comparable sales grid completion (up to 9 comps)
  • Subject property details and improvements
  • Sketch and map preparation
  • Supporting appraisal software (TOTAL, ACI, ClickFORMS, Appraise-It)

ieIMPACT uses AI-assisted tools to support data entry, validation, and quality assurance. All AI-processed output is reviewed by trained professionals before delivery. AI tools do not replace the appraiser's professional judgment — all analytical decisions remain the appraiser's sole responsibility.

3.2 AMC-Connect Service

AMC-Connect is a separate ieIMPACT service that helps appraisers apply to Appraisal Management Companies (AMCs). It includes:

  • A Chrome browser extension that autofills approximately 80% of AMC application forms using your professional profile
  • A virtual assistant (VA) team that completes remaining application fields
  • A dashboard to track submission status and receive updates

Use of AMC-Connect is governed by these Terms. You are responsible for ensuring that all information provided in AMC applications is accurate and current. ieIMPACT is not responsible for AMC approval decisions. Access AMC-Connect at amc-connect.ieimpact.com.

3.3 Free Inspection Sheet Resources

ieIMPACT offers free field inspection tools for licensed appraisers — a UAD 2.6 web form and PDF, and a UAD 3.6 web form and PDF. These are provided free of charge with no account required. Use of these resources is also subject to the separate Inspection Sheet Terms of Use.

3.4 Delivery Timeframes

Standard turnaround time is 6-24 hours. We offer expedited services:

  • Rush service: 2-4 hours (additional fee applies)
  • Same-day service: Available upon request
  • First-time customer orders: May take up to 24 hours as we learn your preferences

3.5 What We Fill In

We complete approximately 95% of manual data entry. We do not fill valuation adjustments or pictures unless specifically instructed. We do not perform appraisals or calculate property values—those remain the appraiser's professional responsibility in accordance with USPAP.

3.6 ieINSPECT Mobile App

ieINSPECT is a free iOS mobile application for licensed real estate appraisers to capture field inspection data according to UAD 2.6 and UAD 3.6 form structures. Use of ieINSPECT is governed by these Terms, subject to the following specific provisions:

  • Intended use: ieINSPECT is a field data capture tool for licensed appraisers. It is not a substitute for professional appraisal judgment, USPAP compliance, or lender-specific guidelines. Only licensed appraisers and their authorized trainees may use the app in connection with appraisal assignments.
  • No warranty on data accuracy: The app assists with structured data entry but does not validate appraisal data for regulatory, GSE, or USPAP compliance. You are solely responsible for the accuracy and completeness of all inspection data and any reports derived from it.
  • UAD compliance disclaimer: While ieINSPECT follows UAD 2.6 and UAD 3.6 form structures, you are responsible for ensuring your inspections meet current USPAP standards, GSE requirements, and any lender-specific rules in effect at the time of your assignment. Form structures may change; always verify you are using a current version of the app.
  • Data responsibility: All inspection data is stored locally on your device only. You are solely responsible for backing up and exporting your data. Data stored on-device may be permanently lost if the app is uninstalled, your device is lost, damaged, or reset. ieIMPACT is not liable for any loss of on-device inspection data.
  • App provided "as is": ieINSPECT is provided free of charge with no warranty of any kind. See Section 7 (Disclaimers and Limitations of Liability) for the full disclaimer applicable to all ieIMPACT services, including the app.
  • Discontinuation: ieIMPACT reserves the right to discontinue, update, or modify ieINSPECT at any time without notice. We recommend exporting your inspection data regularly to avoid data loss in the event of an app update or discontinuation.

4. Billing and Payment

4.1 Fees and Payment Terms

All payments are due in U.S. dollars. Payment is due when the completed report is delivered and is not conditional on loan approval or order cancellation. Fees are incurred only when ordering services.

4.2 Payment Methods

We accept credit cards, debit cards, and PayPal. For credit/debit card payments:

  • We authorize your card at order time but charge only upon completion
  • Fees are due at the end of the month in which you received services
  • Fees become delinquent 30 days after the month services were provided

We do not store credit card numbers on our servers. All payment processing is handled through secure, PCI-compliant payment processors.

4.3 Delinquent Payments

Delinquent payments may bear interest at 5.5% per month (or the highest rate permitted by law, if less). Late payments incur a fee of $25.00 or 5% of the total balance due (whichever is higher). Accounts past due for more than 60 days may be sent to collections automatically.

4.4 Suspension for Non-Payment

Customers have 30 days to pay delinquent fees. After 30 days, we will automatically suspend your account until all outstanding fees are paid. If suspension continues for more than 60 days, we may terminate your account for breach.

4.5 Billing Disputes

Contact us within 30 days of receiving an invoice regarding any billing discrepancies or problems. If we do not hear from you within 30 days, we will assume the invoice is satisfactory.

5. Your Responsibilities

5.1 Data Provision

You must provide:

  • Complete subject property data
  • Comparable sales information
  • MLS data, public records, or assessor information
  • Inspection details and photos
  • Your software template file with standard comments
  • Clear instructions for each order

5.2 Professional Responsibility

You remain professionally responsible for all appraisal work. ieIMPACT provides data entry assistance only. You must review, verify, and take full professional responsibility for all completed reports in accordance with USPAP and applicable appraisal standards.

5.3 Prohibited Activities

You agree not to:

  • Violate or attempt to violate website security
  • Access data or accounts not intended for you
  • Use the Services for any illegal purpose
  • Interfere with or disrupt the Services
  • Copy, reproduce, or redistribute our content without permission
  • Use automated systems to access the Services without authorization

6. Intellectual Property

All content on our website, including text, software, graphics, logos, images, and digital downloads, is the exclusive property of ieIMPACT Technologies Inc. and protected by U.S. and international copyright laws.

You may download or print one copy for personal, non-commercial use only, keeping all copyright notices intact. Any systematic retrieval, compilation, or commercial use is strictly prohibited without written permission.

7. Disclaimers and Limitations of Liability

7.1 Service Availability

Access to our Services may occasionally be unavailable, delayed, or limited due to hardware failure, software issues, system overload, natural disasters, or other causes beyond our control. We are not liable for any loss resulting from service interruptions.

7.2 No Warranties

THE SERVICES ARE PROVIDED "AS-IS" AND "WITH ALL FAULTS." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be error-free or uninterrupted.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ieIMPACT SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Lost profits, revenue, data, or business opportunities
  • Any damages exceeding the amount you paid us in the 12 months preceding the claim

8. Indemnification

You agree to indemnify, defend, and hold harmless ieIMPACT and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Services
  • Your breach of this Agreement
  • Your violation of any law or regulation
  • Your violation of any third-party rights

9. Termination

9.1 Your Right to Terminate

You may terminate your account at any time by contacting customer support. Termination does not relieve you of payment obligations for services already rendered.

9.2 Our Right to Terminate

We may suspend or terminate your account, with or without cause, at any time. Reasons for termination may include:

  • Your request
  • Breach of this Agreement
  • Requests from law enforcement or government agencies
  • Extended inactivity
  • Failure to pay fees

9.3 Effect of Termination

Upon termination, your access to the Services will be removed. We may delete your data and files. All unpaid charges become immediately due and payable.

10. Dispute Resolution and Governing Law

10.1 Governing Law

This Agreement shall be governed by the laws of the State of California, USA, without regard to conflict of law principles.

10.2 Arbitration

Any disputes arising from this Agreement shall be resolved through binding arbitration in Santa Clara County, California. By agreeing to arbitration, you waive your right to a jury trial. The arbitration award shall be binding and enforceable in any court of competent jurisdiction.

10.3 Attorneys' Fees

In any dispute, the prevailing party shall be entitled to reasonable attorneys' fees and costs in addition to any other relief granted.

11. Modifications to Terms

We may modify this Agreement at any time. We will notify you of material changes by:

  • Posting the updated terms on our website
  • Updating the "Last Updated" date
  • Sending email notification (for significant changes)

Your continued use of the Services after changes become effective constitutes acceptance of the modified terms. If you do not agree to the changes, you must stop using the Services and close your account.

12. Miscellaneous

12.1 Entire Agreement

This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and ieIMPACT and supersedes all prior agreements.

12.2 Severability

If any provision of this Agreement is found to be unenforceable, the remainder shall remain in full force and effect.

12.3 No Waiver

Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer your rights under this Agreement without our written consent. We may assign our rights and obligations without restriction.

13. SMS/Text Messaging Communications

By providing your mobile phone number and opting in, you consent to receive text messages from ieIMPACT Technologies Inc. The following terms govern our SMS communications:

13.1 Program Description

ieIMPACT sends SMS messages for two purposes: (1) transactional messages — order confirmations, status updates, completed report notifications, and account security alerts; and (2) marketing messages — service updates, promotions, and ieIMPACT news, sent only where you have separately opted in.

13.2 How to Opt In

You may opt in to SMS communications by providing your mobile number during account registration, on an order form, or through any other ieIMPACT opt-in mechanism. By opting in, you represent that you are the authorized account holder or customary user of the mobile number provided.

13.3 How to Opt Out

Reply STOP to any SMS message at any time to unsubscribe from that message program. You will receive a single confirmation text and no further messages will be sent to that number under that program. To opt out of all ieIMPACT SMS programs, contact us at [email protected]. Opting out of marketing SMS does not cancel transactional messages tied to active orders.

13.4 Help

Reply HELP to any SMS message for assistance, or contact us directly at [email protected] or +1-408-256-0154.

13.5 Message Frequency and Rates

Message frequency varies based on your account activity. Message and data rates may apply depending on your mobile carrier and plan. ieIMPACT is not responsible for any charges from your carrier. Carriers are not liable for delayed or undelivered messages.

13.6 Consent Not Required for Purchase

Consent to receive marketing SMS messages is not a condition of purchasing or using any ieIMPACT service. You may use all ieIMPACT services without opting in to marketing text messages.

13.7 No Sharing of SMS Opt-In Data

Mobile phone numbers collected for SMS communications will not be sold, rented, or shared with third parties for their own marketing or advertising purposes.

13.8 TCPA Compliance

Our SMS program complies with the Telephone Consumer Protection Act (TCPA) and CTIA Messaging Principles and Best Practices. By opting in, you consent to receive autodialed or prerecorded text messages from ieIMPACT at the mobile number you provide. You may revoke this consent at any time by replying STOP.
